IMPACT SOURCE TECHNOLOGIES LLC

Terms and Conditions

Last updated: 11 July 2026 Effective date: 18 July 2026

These Terms and Conditions ("Terms") together with the Privacy Policy, Cookie Policy, the Delivery Policies (Physical Products, Digital Products and Memberships), the Refund Policies (Physical Products and Returns, Digital Products and Memberships) and the Disclaimers (collectively, the "Policies") form a legally binding agreement between you ("you," "your") and IMPACT SOURCE TECHNOLOGIES LLC, 16192 Coastal Highway, Lewes, Delaware 19958, USA ("Impact Source," "we," "us," or "our"). By accessing or using the Site, purchasing a Membership, ordering a Digital Product or Physical Product, or requesting a consultation, you agree to these Terms and the Policies. If you do not agree, do not use the Site. If you are entering into these Terms on behalf of a company or organisation, you represent that you are authorised to bind that entity, and "you" includes that entity. PLEASE READ SECTION 23 (LIMITATION OF LIABILITY) AND SECTIONS 28 AND 29 (DISPUTE RESOLUTION; CLASS ACTION AND JURY TRIAL WAIVER) CAREFULLY.

1. Definitions

  • "Site" — the websites, subdomains, mobile applications and related online or digital resources owned or operated by Impact Source, including educational content, Insights articles and the consultation booking interface.
  • "Services" — consulting, strategy, market research, marketing, demand-generation, implementation, educational and advisory services, whether provided under a Membership, an order, or a Statement of Work.
  • "Digital Products" — courses, recorded or live programs, templates, frameworks, toolkits, reports, recordings, licences and any other content delivered electronically.
  • "Physical Products" — any tangible goods shipped to you.
  • "Membership" — a recurring, auto-renewing subscription to Services and/or Digital Products as described in §7, the Delivery Policy – Memberships and the Refund Policy – Memberships.
  • "Buyer" — the person or entity that places an order.
  • "Content" — all text, articles, video, audio, images, designs, code, software, models, frameworks and other materials made available through the Site or in any Digital Product.

2. Eligibility

The Site, the Services and the Products are intended for individuals aged 18 or older who have legal capacity to enter into a binding contract. By using the Site or purchasing, you confirm that you meet these requirements. If you are between 18 and the age of majority in your jurisdiction, you confirm you have the consent of a parent or legal guardian. Minors may not purchase Products or create an account.

3. Orders and Acceptance

Products are offered subject to availability. Your order is an offer to purchase. A contract is formed only when we send you a written order confirmation or provide access to the Product. We may refuse or cancel any order, in whole or in part, before acceptance, including where we reasonably suspect fraud, chargeback abuse, unauthorised resale, or a breach of §11. If we cancel after payment, we refund the amounts paid for the cancelled portion.

Where an engagement requires scoping, the scope, deliverables, fees, timelines, responsibilities, dependencies and termination rights are set out in a separate order form, Statement of Work or services agreement ("Order"). Where an Order conflicts with these Terms, the Order prevails for that engagement only.

4. Fees, Currency and Taxes

Prices are shown in US dollars (USD). Your bank or payment provider may charge a currency conversion fee, which is outside our control and may be added to the displayed price.

Fees exclude any taxes, duties, VAT, sales tax, use tax, Goods and Services Tax (GST) or similar indirect taxes, except where we are required to include them in the displayed price at checkout. Where we act as the merchant, applicable indirect taxes are calculated and collected at checkout. Where you are responsible for taxes in your jurisdiction, you are responsible for them, including any penalties or interest, and you should consult a qualified professional.

Fees are exclusive of bank, card-network and payment-processor charges, which are your responsibility.

We may change prices at any time. A price change does not affect orders already accepted.

5. Payment

Payments are processed by third-party payment processors (including Stripe, PayPal, Adyen, Paddle, Shopify Payments and similar providers). We do not store your full card number. All payments are made in accordance with the processor's terms and are handled in line with the PCI DSS standard maintained by the PCI Security Standards Council.

You must provide accurate and current payment information and authorise the charge. If a payment fails, is declined, is reversed or is charged back, we may suspend your access, cancel your Order, and apply the applicable Refund Policy. Repeated failed payments on a Membership may result in suspension or termination of the Membership.

6. Digital Products: Delivery and Licence

Digital Products are delivered electronically. Where a Digital Product is marked as immediate, access is granted within twenty-four (24) hours of confirmed payment, continuously available to you subject to the licence below. Delivery is complete when we make the Product available to you and send you a confirmation. See the Delivery Policy – Digital Products for full detail.

Your purchase grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Digital Product for your own internal business or personal non-commercial purposes, for the term stated at checkout. You may not:

Where a Product is described as "lifetime," "lifetime" refers to access to the Content only and begins on the date of purchase. Mentorship, coaching, live sessions, community access, software subscriptions and support provided by third parties are limited to the period stated at checkout, which is typically twelve (12) months, unless we state otherwise in writing. "Lifetime" does not mean perpetual delivery of services.

  • copy, reproduce, republish, redistribute, resell, sublicense, rent, lease or commercially exploit the Digital Product, in whole or in part;
  • share, transfer or make your login or account available to any other person;
  • remove, obscure or alter any copyright, trademark, attribution or other proprietary notice;
  • use the Digital Product to build or train a competing product, dataset or model, or to create derivative works for redistribution;
  • scrape, crawl, automate access to, or systematically extract from the Site or any Product.

7. Memberships

Memberships renew automatically each billing period (currently monthly) until you cancel. Access continues until the end of the paid period. Cancellation does not entitle you to a refund of the current period, except where the Refund Policy – Memberships, mandatory consumer law or these Terms require otherwise. Full terms are in the Delivery Policy – Memberships and the Refund Policy – Memberships.

8. Physical Products: Ordering and Risk

Physical Products are sold subject to availability. Unless we state otherwise, Physical Products are shipped to the delivery address you provide at checkout. Risk of loss or damage passes to you on delivery to the carrier, except where the carrier delivers to a place designated by you and we have not notified you that we consider that place to be your place of business or residence.

You must provide a complete, accurate delivery address. If delivery fails because of an incorrect address, you bear the return and re-delivery costs.

Please read the Delivery Policy – Physical Products and the Refund and Returns Policy – Physical Products for processing times, returns, carriers, international shipments, duties and import taxes, and damaged or lost parcels.

9. Price Matching, Promotions and Coupons

We may run promotions, discounts, coupons and giveaways. Unless we state otherwise, promotions are limited in duration, apply to the stated Products only, cannot be combined, and may be withdrawn. We may cancel an order where a promotion has been applied in error.

10. Consultations

Our strategy consultations are complimentary unless we state otherwise, are subject to availability, and do not create a client, fiduciary or engagement relationship. Booking a slot is a request, not an engagement; an engagement arises only when we send a written confirmation and, where applicable, an Order. We may decline or reschedule requests at our discretion.

11. Acceptable Use

You must use the Site, the Services and the Products lawfully and in line with these Terms. In particular, you must not:

Breach of this section is a material breach of these Terms and may result in removal of content, suspension or termination without refund, and reporting to payment processors or the authorities where appropriate. Copyright and rights-infringement notices are handled under §17.

  • use the Site, the Services or the Products for any unlawful purpose or in breach of any applicable law, regulation or third-party right;
  • share, resell, sublicense or lend your account, login or access to any Product or Membership, or allow anyone else to use it;
  • scrape, crawl, automate access to or systematically extract Content, or use Content to build or train a competing product, dataset or model;
  • attempt to gain unauthorised access to the Site, accounts or systems, interfere with their security or operation, or transmit malicious code;
  • submit content that is unlawful, infringing, defamatory, deceptive or abusive, or that contains another person's personal data without a lawful basis;
  • enter client-confidential information, third-party personal data or export-controlled data into any AI-enabled feature of the Site or the Products, unless we have agreed in writing.

12. Intellectual Property

All Content is owned by or licensed to Impact Source and is protected by copyright, trademark, trade secret and other intellectual property laws. We retain all right, title and interest in the Site, the Content, our name, logo, brand, software, models and methods.

You may view the Site and Content and print or download reasonable extracts for your own internal evaluation and permitted use. You may not republish, sell, scrape, imitate, reverse engineer, decompile, disassemble, or create derivative works from the Content, except with our prior written consent.

User Content. Where you submit content to us (reviews, testimonials, questions, uploads, event materials or other communications), you retain ownership and represent that you hold all rights and permissions necessary to submit it and that it does not infringe any third-party right or violate law or §11. You grant us a worldwide, royalty-free, non-exclusive, perpetual and irrevocable licence to use, host, reproduce, adapt, display, distribute and otherwise exploit your User Content for the purposes of operating, securing and improving our Services, responding to you, and meeting legal obligations. If your User Content contains personal information, our Privacy Policy applies. You must not submit personal health information, government identifiers, payment card data, passwords, or material non-public information through the Site.

Feedback. If you send us suggestions, ideas, requests or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free licence to use it without restriction or obligation to you.

13. Earnings and Results Disclaimer

We make no guarantee of revenue, profit, leads, sales, rankings, traffic, funding, investment outcomes, advertising return, or any specific result from the Site, the Content, the Products or the Services. Business and advertising outcomes depend on factors outside our control, including your effort, skill, market, competition, budget, offer, pricing, team and execution. Individual results vary.

Any examples, projections, scenarios, screenshots, dashboards, case studies or figures shown on the Site or in the Products are illustrative only. They are not promises, estimates of likely results, or typical results, and they do not guarantee that you will achieve similar outcomes. No figure shown represents an average or median outcome.

Nothing on the Site or in any Product constitutes accounting, tax, legal, financial, investment or business advice, a fiduciary relationship, or a recommendation to buy, sell or hold any security. Consult qualified, licensed professionals before making decisions. See the Disclaimers.

14. Testimonials, Reviews and Case Studies

Testimonials and reviews reflect the genuine experience of the individual quoted and are published with their permission, unless clearly labelled as illustrative or hypothetical. They are not guarantees of your success or of any result. We do not guarantee that a testimonial will be published.

15. No Professional Advice; Your Responsibility

The Content, Products and Services are for educational and informational purposes. They do not create a professional, advisory, fiduciary or agency relationship unless expressly stated in an Order. You are solely responsible for the laws that apply to your business, including advertising and marketing claims, data protection, employment, tax and consumer protection, and for verifying the accuracy and suitability of anything you rely on. Your reliance on the Content is entirely at your own risk.

16. Third-Party Services

The Site may link to or integrate with third-party services, including scheduling, payment, analytics, email, advertising and social platforms. We do not control, endorse or warrant third-party services, content, availability, security or practices. Your use of them is governed by their own terms and privacy policies. If you link to a third-party service from an account we provide you, you are responsible for your use of it.

17. Copyright Infringement Claims

If you believe that content on the Site or in a Product infringes your copyright, send a written notice to our designated agent at legal@impactsourcetechnologies.com containing: (1) identification of the copyrighted work and of the allegedly infringing material; (2) your name, address, telephone number and email address; (3) a statement that you have a good-faith belief the use is not authorised by the owner, its agent or the law; (4) a statement, under penalty of perjury, that you are authorised to act for the owner; and (5) your physical or electronic signature. We may remove or disable the material where appropriate.

18. Confidentiality

Where you and we exchange non-public information under an Order, each party will protect the other's confidential information with at least reasonable care and use it only for the purpose it was shared. This obligation survives termination for three (3) years, and indefinitely for trade secrets and personal information.

19. Representations and Warranties

You represent and warrant that you have the legal capacity and authority to enter into these Terms; that your use of the Site and Products will comply with all applicable laws; and that you will not misuse the Site, attempt unauthorised access, interfere with its security or operation, scrape it at unreasonable volume, transmit malicious code, or use the Content unlawfully.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Impact Source and its officers, directors, employees, agents and affiliates from and against any third-party claim, loss, liability, cost or expense (including reasonable attorneys' fees) arising from your breach of these Terms or the Policies, your misuse of a Product, your infringement of a third party's rights, your violation of law, or your unauthorised use of an account. We may assume control of the defence, but we will not settle any claim in a way that admits fault by you or imposes non-monetary obligations on you without your consent.

21. Third-Party Beneficiary Rights

These Terms grant no rights to any person other than the parties. The Site may contain third-party content, but we do not grant any licence to it.

22. Disclaimer of Warranties

The Site, Content, Products and Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, and any implied warranty arising out of course of dealing or performance. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components, or that any Content is accurate, current or suitable for your purpose.

Nothing in these Terms excludes or limits warranties or rights that cannot lawfully be excluded or limited, including your right to a statutory remedy for defective goods or digital content.

23. Limitation of Liability

To the fullest extent permitted by law, Impact Source and its officers, directors, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity or anticipated savings, however caused and regardless of the theory of liability, even if advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to the Site, the Content, the Products or the Services will not exceed the greater of (a) USD 100.00, or (b) the total amount you actually paid us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in this section limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for any liability that cannot lawfully be excluded or limited, or for the amounts owed to you as a refund under the applicable Refund Policy.

24. Indemnification Procedure

We will notify you promptly of any third-party claim for which you may be required to indemnify us, provided we do not make any admission of liability or settle without your consent. We will provide reasonable cooperation, at your expense.

25. Mandatory Consumer Rights

Nothing in these Terms limits any warranty, remedy or obligation we owe you under mandatory consumer law for Digital Products or Physical Products that are defective, faulty or not as described.

26. Suspension and Termination

These Terms apply from the moment you first use the Site and continue until terminated. You may stop using the Site at any time. We may suspend or terminate your access, Membership, Order or account, in whole or in part, immediately or with notice, where we reasonably believe you have breached these Terms or the Policies, provided information is false or unlawfully obtained, engaged in fraud, chargeback or payment abuse, or where required by law or to protect the Site or third parties. Where practicable, we will notify you and allow a reasonable period to cure.

On termination: all amounts due become immediately payable; your access to the Site, Products and Content ends; your licences under §6 end; and you must return or destroy our confidential information. Clauses that by their nature should survive do survive, including §12 (Intellectual Property), §13, §17, §18, §20, §22, §23, §27–§31 and §34, together with the Refund Policies.

27. Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Nothing excludes mandatory consumer protections available to you under the law of your country of residence.

28. Dispute Resolution — Good Faith First

Before commencing proceedings, you and we agree to attempt in good faith to resolve a dispute by written notice and, if unresolved within thirty (30) days, by non-binding mediation with a mutually agreed mediator. Either party may commence proceedings at any time to seek injunctive relief, or to enforce a payment obligation, limitation period, or any right that cannot lawfully be arbitrated or mediated.

29. Disputes in Court; Class Action and Jury Trial Waiver

Unless you are a resident of the European Union, the United Kingdom, or a jurisdiction that does not permit it, you and we irrevocably consent to the exclusive jurisdiction of the state or federal courts located in Delaware, USA, and waive any objection based on venue or inconvenient forum.

CLASS ACTION WAIVER. To the fullest extent permitted by law, you agree to resolve any dispute with us individually and not as a representative or member of a class, collective or representative action. If a court determines this waiver is unenforceable, the waiver applies to the maximum extent permitted, and the rest of it remains in effect. This does not waive your right to participate in a regulator or consumer-protection enforcement action.

JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE POLICIES. You acknowledge you have been advised of this waiver and had the opportunity to consult a lawyer.

30. Statute of Limitations and Unenforceable Claims

To the fullest extent permitted by law, any claim arising out of or relating to the Site, the Content, the Products or the Services must be brought within one (1) year after the claim or cause of action first arose. If you are a consumer under mandatory consumer law that provides a longer period, that longer period applies.

If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in full force. If a provision is held unenforceable for a particular person or circumstance, that does not affect its enforceability for others.

31. Release of Unknown Claims

To the fullest extent permitted by law, and subject to §23 and any mandatory consumer right, you release and forever discharge us from claims you do not know or suspect to exist arising from your use of the Site, the Content, the Products or the Services. To the fullest extent permitted by law, you waive your rights under California Civil Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or releasing party."

32. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, epidemic or pandemic, government action, embargo, strikes, labour disputes, utility or infrastructure failure, interruption of telecommunications or power, and third-party platform outage. Where practicable, we will notify you. Time obligations extend by the period of the event.

33. Changes to These Terms

We may update these Terms. We will post the revised version with a new "Last updated" date on this page. Where a change is material and we hold your email address, we will give at least thirty (30) days' notice by email before it takes effect, or otherwise as required by law. If you do not object before the effective date, the revised Terms apply from that date; continued use of the Site after that date is acceptance. Where we are required to obtain your express consent to new terms, we will ask for it and, until you consent, the previous version continues to apply.

34. Notices

Notices to you may be given by email to the address you provide, or by posting on the Site. Notices to us must be sent to legal@impactsourcetechnologies.com and to our postal address above. Notices are deemed received on the earlier of when the recipient opens the email or twenty-four (24) hours after posting.

35. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganisation, financing or sale of assets. If we do so, our obligations will be satisfied by the successor, and where the change materially affects you we will notify you.

36. General

These Terms, the Policies and any Order are the entire agreement between us regarding the Site, the Content, the Products and the Services, and supersede all prior and contemporaneous agreements, proposals and representations. If an Order or a separate agreement conflicts with these Terms, that document prevails for the subject matter it covers. Headings are for convenience only. "Including" means "including without limitation." Waiver of any breach is not a waiver of a later breach. Failure to enforce a right is not a waiver of it. Electronic signatures and electronically accepted clickwraps are valid and enforceable. Nothing in these Terms obliges us to provide a benefit not stated here.

37. Export, Sanctions and Compliance

You will not use the Site, Products or Services in violation of export control or economic sanctions laws, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and you will not attempt to access the Site from a restricted jurisdiction.

38. Accessibility

We aim to make the Site accessible in accordance with applicable accessibility requirements, including the Web Content Accessibility Guidelines (WCAG 2.2) and, where applicable, the European Accessibility Act and the ADA. If you encounter a barrier, contact support@impactsourcetechnologies.com and we will work with you on an accessible alternative.
